Capabilities & Pricing
**Terms of Service Agreement**
This Terms of Service Agreement is entered into by and between Outofthevase and the individual or entity placing an order with Outofthevase. By placing an order with Outofthevase, Customer agrees to the following terms and conditions:
1. Orders:Customer agrees to purchase the products or services specified in the invoice provided by Outofthevase. Outofthevase reserves the right to accept or reject any order at its discretion.
2. Payment:Customer agrees to pay the total amount specified in the invoice within the payment terms stated. Payment shall be made in the currency specified by Outofthevase. Failure to make timely payment may result in late fees or cancellation of the order.
3. Pickup:Customer agrees to pick up the products or services from the designated location specified by Outofthevase. Pickup details will be communicated to the Customer upon confirmation of the order. The Customer is responsible for ensuring timely pickup of the order.
4. Product Usage:Customer agrees to use the products or services purchased solely for their intended purpose and in accordance with any instructions provided by Outofthevase. Customer shall not resell, sublicense, or otherwise distribute the products or services without prior written consent from Outofthevase.
5. Intellectual Property:All intellectual property rights, including but not limited to copyrights, trademarks, and patents, related to the products or services provided by Outofthevase, shall remain the property of Outofthevase.
6. Warranty:Outofthevase warrants that the products or services provided will conform to the specifications stated in the invoice. If the products or services are found to be defective, Outofthevase's sole obligation shall be to repair or replace the defective products or services.
7. Limitation of Liability:In no event shall Outofthevase be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the products or services provided, even if Outofthevase has been advised of the possibility of such damages.
9. Amendment:This Agreement may be amended or modified only by written agreement signed by both parties.
10. Entire Agreement:This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
By placing an order with Outofthevase, Customer acknowledges that they have read, understood, and agree to be bound by this Agreement.
